Introduction

These Terms and Conditions explain how you may use this website (the “Site”). References in these terms to the Site include the following website www.cambridgeforums.com and all associated web pages.

 

Please read these Terms and Conditions carefully before using the Site. By accessing or using this Site or otherwise indicating your consent, you agree to be bound by these Terms and Conditions and the other terms, conditions, and documents referred to in them. If you do not agree with or accept any of these Terms and Conditions, you should cease using the Site immediately. Definitions:

“Content” means any text, images, video, audio or other multimedia content, software or other information or material on, submitted to, or accessible from, the Site;

“Communities” are the private discussion groups made available through the Site, the use of which is subject to the Communities Terms of Use and the specific rules posted for each individual Community (“Rules”);

“Cambridge Forums”, “we”, “us” or “our” means Cambridge Forums Inc., whose registered office is at 55 University Avenue, Suite 550, Toronto, ON, M5J 2H7 and our affiliated group companies from time to time [including Cambridge Forums – Litigation Series Inc. and Cambridge Executive Connections Inc.]; and “you” or “your” refers to the person accessing or using the Site or its Content.

Terms of Use

These Terms and Conditions include (i) our Privacy Statement, and (ii) the Communities Terms of Use. If there is any conflict or inconsistency between these Terms and Conditions and our Privacy Statement, these Terms and Conditions shall supersede any such conflicting or inconsistent terms. If there is any conflict or inconsistency between these Terms and Conditions and the Communities Terms of Use and/or any Rules, the Communities Terms of Use and/or Rules shall supersede any such conflicting or inconsistent provisions of these Terms and Conditions.

Accessibility: We seek to make this Site as accessible as possible. If you have any problems accessing this Site or the content contained on it, please contact us at webhelp@cambridgeforums.com and/or use the website accessibility tools available here.

Restrictions on use: The Site is for your personal use only. As a condition of your use of the Site, you agree:

  1. To keep your registration and contact information up to date at all times;
  2. To keep your password for the Site and any Communities confidential and not to share any such password with any person or entity;
  3. Not to use the Site for any purpose that is unlawful under applicable law, or prohibited by these Terms of Use;
  4. Not to defame or disparage any person or entity, or make comments of an obscene, derogatory or offensive manner or otherwise use the Site or its Content in a way that brings us or any third party into disrepute, or causes us to be liable to any third party;
  5. Not to reverse engineer, decompile, copy, modify, distribute, transmit, license, sublicense, display, revise, perform, transfer, sell or otherwise make available to any third party or otherwise publish, deep-link, create derivative works from, or exploit in any way the Site or its Content except as permitted by us under these Terms of Use, the Communities Terms of Use or any Rules;
  6. Not to use the Site to distribute viruses or malware or other harmful software or HTML code or other similar material;
  7. Not to represent or suggest that we endorse any other business, product or service unless we have separately agreed to do so in writing; and,
  8. That you are solely responsible for all costs and expenses you may incur in relation to your use of the Site and shall be solely responsible for keeping your password and other account details confidential.

We reserve the right to terminate, prevent or suspend your access to the Site if you do not comply with any part of these Terms and Conditions, the Communities Terms of Use, any Rule or any applicable law.

Ownership, use, and intellectual property rights: This Site and all intellectual property rights in the Site (including any intellectual property rights to any Content granted to us by these Terms and Conditions, the Communities Terms of Use, or any Rule) are owned by us and/or our licensors. We and our licensors reserve all our intellectual property rights (including all copyright, trade-marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world.

Nothing in these Terms and Conditions grants you any rights in the Site other than those necessary to enable you to access the Site. You agree not to try to circumvent or delete any intellectual property notices contained on the Site and in particular in any digital rights or other security technology embedded or contained within any Site Content.

Trade-marks: Cambridge Forums, its logo, and related marks are trade-marks of Cambridge Forums Inc. used under license by Cambridge Forums and its subsidiaries. All other products, brand and company names, and logos used on the Communities are the trade-marks or registered trade-marks of their respective owners. Other trade-marks and trade names may also be used on this Site, for example, to identify goods and services we make available. The use or misuse of any trade-marks or any other Content on the Site except as provided in these Terms and Conditions is strictly prohibited. Nothing contained on the Site shall be construed as granting, by implication, estoppel or otherwise, any license or right to use any trade-mark without our prior written permission.

Software: If any software is made available for downloading from the Site, the copyright in such software is owned by us and/or our licensors. You may only use such software in accordance with the terms of the end-user license agreement, if any, which accompanies the software and in accordance with these Terms and Conditions, the Communities Terms of Use, or any Rule. All such software is made available for downloading solely for your personal use. Any use, reproduction or redistribution of software not in accordance with the end-user license agreement and/or these Terms and Conditions, the Communities Terms of Use, or any Rule is expressly prohibited and may result in severe civil and criminal penalties.

Any software made available through the Site is warranted only to the extent expressly required by applicable law or according to the terms of the end-user license agreement. We disclaim all other warranties, conditions and other terms (whether express or implied) with regard to the software, including all implied warranties and conditions of satisfactory quality, freedom from defects and fitness for a particular purpose. In no event shall our aggregate liability in respect of any such software exceed the limitations of liability in the applicable end user license agreement, or in all other cases the greater of zero ($0) or the amount you paid us, if any, for the relevant software.

Submitting Information to the Site: While we take commercially reasonable steps to secure the Site, the Site may not be a secure means of communication and any information you supply to us may not remain confidential. For that reason, you should not submit or send us any patentable ideas or patent applications, advertising or marketing suggestions, prototypes or any information, written or oral, which you regard as confidential or commercially sensitive or valuable.

Communication with Us or Other Users: Where our Site enables you to communicate with us and/or other users of the Site, you agree to do so in compliance with these Terms and Conditions, the Communities Terms of Use, and any Rule. In particular, you may not use the Site to transmit harmful or offensive (e.g., violent, obscene, discriminatory, defamatory or otherwise illegal) communications or material which might otherwise bring us or the Site into disrepute.

Although we reserve the right to monitor, edit, review or remove discussions, chats, postings, transmissions, and similar communications on the Site from time to time, we are under no obligation to do so and assume no responsibility or liability arising from any Content posted on the Site nor for any error, omission, infringement, defamatory statement, obscenity, or inaccuracy contained in any such information.

You represent and warrant that any Content you post in any Community or otherwise on the Site supply is and shall be your own original work or has been lawfully provided to us and that you have all necessary consents to provide this to us. You agree that you waive all moral rights you may have in any such Content but that any personal data you supply with your Content may if we choose to do so, be used by us as described in our Privacy Statement.

Accuracy of information and availability of the Site: While we use reasonable efforts to include accurate and up-to-date information on the Site, we do not represent, warrant or promise (whether expressly or by implication) that the Site or any Content is or remains available, accurate, complete and up to date, free from bugs, errors or omissions or fit or suitable for any purpose. Any reliance you may place on the information on this Site is at your own risk and we may suspend or terminate operation of the Site at any time at our sole discretion. Nothing in these Terms and Conditions shall operate to prejudice any mandatory statutory requirement or your statutory rights. Content on the Site is provided for your general information purposes only and to inform you about us and our products and news, features, services and other websites, which may be of interest. Nothing on the Site constitutes technical, financial or legal advice or any other type of advice and should not be relied on for any purpose.

Hyperlinks and third party sites: The Site may contain hyperlinks or references to third-party websites other than the Site. Any such hyperlinks or references are provided for your convenience only. We have no control over third party websites and accept no responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party website does not constitute an endorsement of such third party’s website, products or services. Your use of a third party site may be governed by the terms and conditions of that third party site.

No warranties: To the maximum extent permitted by applicable law, we exclude all liability (whether arising in contract, tort, breach of statutory duty or otherwise) which we may otherwise have to you as a result of any error or inaccuracies in any Content, the unavailability of the Site for any reason, and any representation or statement made on the Site.

We will not be liable for any loss or damage we cause which we could not reasonably anticipate when you started using the Site, for example, if you lose revenue, salary, profits or reputation as a result of your use of the Site and/or the acts or omissions of any third party such as other users of the Site or any other indirect or consequential loss or damage you may incur in relation to the Site and its Content.

Limitation of Liability: Under no circumstances shall our aggregate liability to you for any and all claims arising from your use of the Site (including the downloading or use of any Content) exceed the amounts paid by you, if any, for the use of the Site or any part of it.

Notwithstanding any other provision of these Terms and Conditions, we do not exclude or limit our liability for death or personal injury arising from our negligence, for any fraudulent misrepresentation made by us on the Site or for any other statutory rights which are not capable of being excluded.

Any exclusions and limitations of liability in these terms shall be subject to the Additional Terms in respect of matters covered by those Additional Terms and as otherwise required by law.

Cookies: The Site uses small data files called “cookies” which may be stored on any device by which you access the Site. We may use cookies to save your login information, to customize your user experience, to monitor and analyze the use of the Site and for internal technical purposes. You can control the creation and operation of any cookies on your device through your browser or operating system.

General: These terms are dated April, 13th, 2020. No changes to these terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these Terms and Conditions from time to time. Our new terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms and Conditions from time to time to verify such variations.

Unless otherwise expressly stated in these Terms and Conditions, all notices from you to us must be in writing and sent to our contact address at 55 University Ave., Suite 550, Toronto, ON, M5J 2H7 and all notices from us to you will be displayed on our website from to time.

We shall have no liability to you for any breach of these terms caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lock-outs, and other industrial disputes, breakdown of systems or network access, pandemic or epidemic, government action, flood, fire, explosion or accident.

If any part of these Terms and Conditions is unenforceable (including any provision in which we exclude or limit our liability to you) the enforceability of any other part of these Terms and Conditions will not be affected. If we choose not to enforce any right that we have against you at any time, then this does not prevent us from later deciding to exercise or enforce that right.

These Terms and Conditions (together with the Privacy Statement and the Communities Terms of Use) contain the entire understanding and agreement between us and you in relation to your use of the Site and supersede and replace any representation, statement or other communication (whether written or otherwise) made by you or us which is not contained herein.

You may not assign, sub-license or otherwise transfer any of your rights and obligations in these terms to any other person. These Terms and Conditions shall be construed in accordance with and governed by the laws in effect within ON.

Community Terms of Use

Welcome to the Cambridge Forums Communities.

Communities: The Communities are operated by Cambridge Forums Inc. (“Cambridge Forums”). These Communities Terms of Use are part of the Cambridge Forums Website and are part of the Website Terms and Conditions applicable to the Site and set out at www.cambridgeforums.com. All capitalized terms in these Communities Terms of Use have the meaning set out in the Website Terms and Conditions.

These Communities Terms of Use apply to anyone who is given access to one or more of the Communities as a forum to discuss the specific topics of interest set out in the Rules of such Community(s).

Acceptance. By accessing the Communities, you agree to be bound by these Communities’ Terms of Use and any Rules of such Community(s). These Communities’ Terms of Use may be updated from time to time without notice to you, so please check back periodically. These Communities’ Terms of Use contain legal obligations – please read them carefully.

Cambridge Communities Charter 

Our Purpose  
The Community offers open collaboration, learning, and networking opportunities within a private trusted community of peers, secure in the knowledge that the identities, affiliations, and other identifiable information of members will never be revealed outside the group.

  • Governance 
    All members in the Community must be nominated or endorsed by the Forum Steering Committee.The Steering Committee, comprised of distinguished members in this field:
  • Oversees the Invitation List, and nominations or endorsements for membership.
  • Determines the suitability of topics for virtual roundtable sessions.
  • Offers guidance to Cambridge Forums on the suitability of content and behaviour from Community members, that has been flagged for review.

Confidentiality and Discretion 

  • Members must strictly adhere to the Chatham House Rule regarding information shared and received within the Community and agree to not to reveal the identities of your fellow members to anyone outside of the group.
  • Members agree not to share their Community access with anyone.
  • Members agree not to capture screen images or copy the content shared within the Community that has any identifiable information of a fellow member.

Other Member Responsibilities 

  • As a member-driven initiative, all members are expected to do their part to actively participate in the Community by:
    • Sharing and participating on the online Discussion Board.
    • Engaging in quick polls.
    • Participating in virtual roundtable sessions.
  • Members are asked to keep the information shared in their profiles or posts accurate and up to date.
  • Members must not post or share comments, opinions, or materials that others may find hurtful or offensive.
  • Members must not use the Community, including any affiliated in-person or virtual session for solicitation or self-promotion.
  • Members agree to report any violations of these terms to Cambridge Forums and the Steering Committee.

In the spirit of fairness, Cambridge Forums, together with the Steering Committee, reserve the right to remove or deny renewal for inactive members or those who have been found in violation of this Charter.

Postings and User Generated Content. By using the Communities:

  1. you grant Cambridge Forums the license to use and distribute any Content that you upload to the Communities for the sole purpose of operating the Communities;
  2. you agree that by posting Content to any Community, you represent and warrant that you have the right to grant to Cambridge Forums the license referred to in the previous paragraph;
  3. you acknowledge that other users of the Community(s) to which you post any Content will be able to view such Content;
  4. you agree that you are solely responsible for any Content that you post to any of the Communities; and
  5. you agree that Cambridge Forums may, but is not obligated to, review and delete or remove (without notice) any Content in its sole discretion, including any Content that in its sole judgment is in violation of any of the User Conduct requirements set out under “User Conduct” in the Communities’ Terms of Use [Link to full Communities Terms of Use].

Your Agreement: When you submit Content to any Community, you agree that:

  • all Content that you submit is accurate;
  • all Content is original and was created by you unless clearly credited to a third party;
  • Cambridge Forums’ use of the Content you upload does not violate the terms of these Communities’ Terms of Use and will not cause injury to any person or entity.

User Conduct. You are solely responsible for your interactions with other users of the Communities. Cambridge Forums reserves the right but has no obligation, to monitor disputes between you and other Community users. You agree that you will not use the Communities in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Communities. In addition, you agree that you will not use the Communities to:

  • Harvest or collect email addresses or other contact information of other users of the Communities for the purposes of sending unsolicited emails or other unsolicited communications;
  • Upload, post, transmit, share, store or otherwise make available any Content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
  • Upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation unless specifically authorized by the Rules of any particular Community;
  • Upload, post, transmit, share, store or otherwise make publicly available on the Communities any private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Insurance Numbers and credit card numbers;
  • Upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • Post, transmit, link to, or otherwise distribute any information constituting or encouraging conduct that would constitute a criminal offense or give rise to civil liability, or otherwise use the Communities or any of the Content in a manner which is contrary to law or would serve to restrict or inhibit any other user from using or enjoying the Communities, the Content or the Internet;
  • Impersonate or falsely represent your association with any person;
  • Use, reproduce, sell, resell or otherwise exploit the Communities or any of the Content for any commercial purposes;
  • Intimidate or harass another person; or
  • Upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any law.

Service Modifications. You acknowledge and agree that Cambridge Forums may at any time and from time to time modify or discontinue the Communities or any portion of it with or without notice to you and that Cambridge Forums will not be responsible or liable, directly or indirectly, to you or any other person in any way for any loss or damage of any kind incurred as a result of, or in connection with, any such modifications or discontinuance.

Monitoring: You acknowledge that Cambridge Forums has no obligation to monitor the Communities or any Content on them. However, you agree that Cambridge Forums has the right to monitor the Communities electronically from time to time and to disclose any information as necessary to satisfy any law, regulation or other governmental request, to operate the Communities or provide any of the Content properly, or to protect itself or its users in accordance with the Cambridge Forums Privacy Policy. Cambridge Forums reserves the right to refuse to post or to remove any Content, in whole or in part, that it determines, in its sole discretion, is unacceptable, undesirable or in violation of these Terms of Use. You understand that by using the Communities you may have access to Content which may be offensive or objectionable to you. Under no circumstances shall Cambridge Forums be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, any use of, or access to, any such Content.

Disclaimer Regarding Third Party Content. Communities may offer access to third-party web pages and content and services available over the Internet. In such instances, including, but not limited to, third-party content or services contained on or accessible through the Communities and web pages or sites contained within a directory of links on the Communities, Cambridge Forums generally exercises no control over such third-party content, services, web pages, or sites. You agree that it is your responsibility to review and evaluate any such content or services, and that any and all risk associated with the use of, or reliance on, such content or services rests with you. You further agree that Cambridge Forums shall not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with your use of, or reliance on, any such content or services.

Termination. You acknowledge and agree that if, Cambridge Forums believes that you have violated these Terms of Use, Cambridge Forums, in its sole and absolute discretion, may, without notice to you, suspend or terminate your use of, or access to, the Communities, and remove and discard any information or User Content that you posted to or transmitted using the Communities. You further agree that Cambridge Forums shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with the Communities, these Terms of Use, or with any terms, conditions, rules, policies, guidelines, or practices of Cambridge Forums in operating the Communities, your exclusive remedy is to discontinue using the Communities.

Disclaimer of Warranties. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) THE COMMUNITIES AND THE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT CAMBRIDGE FORUMS MAKES NO WARRANTIES, REPRESENTATIONS OR CONDITIONS (as used in this section “WARRANTIES“) OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT AND THAT ANY SUCH WARRANTIES ARE HEREBY EXPRESSLY DISCLAIMED, AND (B) CAMBRIDGE FORUMS SPECIFICALLY MAKES NO WARRANTIES THAT THE COMMUNITIES OR ANY OF THE SERVICES, INCLUDING ANY CONTENT, INFORMATION, PRODUCTS OR SERVICES OBTAINED FROM OR THROUGH THE USE OF THE COMMUNITIES, WILL BE PROVIDED ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS OR THAT SUCH SERVICES OR THE RESULTS DERIVED THEREFROM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

Limitation of Liability. YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT SHALL CAMBRIDGE FORUMS, INCLUDING ITS AFFILIATES, BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, AND ANY DAMAGES FOR LOSS OF PROFITS, SAVINGS, GOODWILL OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER CAMBRIDGE FORUMS HAD BEEN ADVISED OF OR COULD HAVE FORESEEN THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH: (A) THE USE, INABILITY TO USE OR PERFORMANCE OF ANY OF THE CONTENT OR THE COMMUNITIES, OR (B) ANY UNAUTHORIZED ACCESS TO OR MODIFICATION TO ANY OF YOUR USER CONTENT OR TRANSMISSIONS, OR (C) ANY OTHER MATTER RELATING TO THE COMMUNITIES OR ANY OF THE CONTENT, REGARDLESS OR WHETHER ANY OF THE FOREGOING IS DETERMINED TO CONSTITUTE A FUNDAMENTAL BREACH OR FAILURE OF ESSENTIAL PURPOSE.

Indemnity. You agree to defend, indemnify and hold Cambridge Forums, its affiliates, sponsors, suppliers and other partners, directors, officers, employees and agents harmless from any and all liabilities, claims, costs and expenses, including reasonable attorneys’ fees, related to or in connection with your, or any user of your account’s: (a) violation of these Communities Terms of Use, or (b) use of the Communities or any of the Content, or (c) placement, posting or transmission of any message, information, software or other User Content on the Communities.

No Licence; Intellectual Property of Cambridge Forums and Others. Except as expressly provided, nothing in this Terms or within the Communities or any of the Content shall be construed as granting any licence of any of the intellectual property rights of Cambridge Forums or any third party, whether by implication, waiver, estoppel, or otherwise. Without limiting the generality of the foregoing, you acknowledge and agree that certain Content available through and used to operate the Communities and Services is protected by copyright, trademark, patent, or other proprietary rights of Cambridge Forums, its affiliates, licensors, and/or service providers. You agree not to adapt, translate, modify, decompile, disassemble, or reverse engineer any software, applications or programs used in connection with the Communities or the Content. Further, you agree not to modify, alter, or deface any of the trade-marks or other intellectual property made available through the Communities nor use any of the foregoing for any purpose other than the purpose for which such intellectual property is made available to users through the Communities.

Trade-marks. Cambridge Forums, its logo, and related marks are trade-marks of Cambridge Forums Inc. used under licence by Cambridge Forums and its subsidiaries. All other product, brand and company names, and logos used on the Communities are the trademarks or registered trademarks of their respective owners. Any use of any of the trade-marks appearing on the Communities without the express written consent of Cambridge Forums or the owner of the mark, as appropriate, is strictly prohibited.

General. The Communities originate from and are operated in Canada. These Communities Terms of Use and the Website Terms and Conditions constitute the entire agreement between Cambridge Forums and you pertaining to your use of the Communities and the Services and supercedes any prior agreements between you and Cambridge Forums. Failure of Cambridge Forums to insist upon or enforce strict performance of any right or provision of these Communities Terms of Use shall not constitute or be construed as a waiver of any right or provision. If any of the provisions (or parts thereof) contained in these Communities Terms of Use are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect all of part of the remaining provisions. These Communities Terms of Use shall be governed by and construed in accordance with the laws of the province of Ontario and the federal laws of Canada applicable therein. The parties have required that these Communities Terms of Use and all documents relating thereto be drawn up in English.
